1. Acceptance of Terms

By accessing our website at bestfordentistry.com, creating a member account, or using any service offered by BEST for Dentistry, you confirm that you are at least 18 years of age, have the legal authority to enter into a binding agreement on behalf of yourself or your dental practice, and agree to comply with and be bound by these Terms.

These Terms apply to all visitors, members, and others who access or use our Services. Your use of the Services constitutes ongoing acceptance of these Terms, including any updates we may make in accordance with Section 13.

2. Description of Services

BEST for Dentistry is a group purchasing organization (GPO) and business solutions provider serving independent dental practices. Our Services include:

• Access to pre-negotiated pricing with a network of preferred dental vendors and suppliers
• An online ordering portal for consolidated supply purchasing
• PPO fee schedule analysis and optimization consulting
• Business consulting, operational support, and practice management guidance
• Compliance resources for OSHA, HIPAA, and state dental board requirements
• Continuing education (CE) credits, webinars, and training resources
• Vendor relationship management tools

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to active members.

3. Membership

Eligibility

Membership is available to licensed dental practices, dental service organizations, and associated dental professionals operating in the United States. We reserve the right to approve or decline any membership application at our sole discretion.

Membership Fees

Membership requires payment of an annual fee as specified in your membership agreement or as listed on our membership pricing page. Fees are due upon enrollment and at each annual renewal. All fees are stated in U.S. dollars and are non-refundable except as described below.

Renewal and Cancellation

Memberships renew annually on your enrollment anniversary date. You may cancel your membership at any time by providing written notice to info@bestfordentistry.com at least 30 days before your renewal date. Cancellation after renewal does not entitle you to a pro-rated refund of the annual fee.

Refund Policy

If you are not satisfied with your membership within the first 30 days of enrollment, contact us to discuss your concerns. Refunds are evaluated on a case-by-case basis and are not guaranteed beyond any specific guarantee stated in your membership agreement.

4. Ordering and Purchasing

The BEST for Dentistry member portal facilitates purchasing through our network of preferred vendors. When you place an order through our platform:

• Orders are subject to vendor availability, pricing, and shipping terms
• BEST for Dentistry acts as an intermediary and facilitator — the contractual relationship for product delivery is between you and the vendor
• Prices displayed are based on current negotiated agreements and are subject to change
• Product warranties, returns, and disputes are governed by each vendor's individual policies
• You are responsible for verifying that products ordered meet applicable clinical and regulatory requirements for your practice

BEST for Dentistry is not responsible for product defects, shipping delays, or vendor fulfillment errors, though we will assist members in escalating disputes with vendors in our network.

5. Accounts and Credentials

To access member services, you must create an account on our portal. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials and not share login access with unauthorized parties
• Promptly notify us of any unauthorized use of your account at info@bestfordentistry.com
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms, are used fraudulently, or whose membership fee is past due.

6. Prohibited Uses

You agree not to use our Services to:

• Violate any applicable federal, state, or local laws or regulations
• Misrepresent your identity, practice credentials, or purchasing authority
• Resell or redistribute access to negotiated pricing to non-members
• Scrape, harvest, or systematically extract data from our website or portal without written consent
• Introduce malware, viruses, or any malicious code into our systems
• Attempt to gain unauthorized access to any portion of our Services, systems, or networks
• Use our Services in any manner that could damage, disable, or impair our infrastructure
• Circumvent, disable, or interfere with security features of the Services

7. Intellectual Property

All content on the BEST for Dentistry website and member portal — including text, graphics, logos, icons, images, audio clips, data compilations, and software — is the property of BEST for Dentistry or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal business purposes as a member. This license does not include:

• Reproducing, distributing, or publicly displaying any content without written permission
• Modifying or creating derivative works based on our content
• Using any data mining, robots, or similar data gathering tools on our website
• Framing or using framing techniques to enclose any trademark, logo, or other proprietary content

Any unauthorized use of our intellectual property terminates the license granted herein and may subject you to legal liability.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BEST for Dentistry does not warrant that:

• The Services will be uninterrupted, error-free, or completely secure
• Any savings, results, or outcomes described in our marketing materials are guaranteed for your specific practice
• Vendor pricing negotiated through our GPO agreements will remain available at any particular level
• Information on our website is always current, complete, or accurate

Any reliance on information provided through our Services is at your own risk. Consulting services and recommendations are offered as guidance only and do not constitute legal, financial, medical, or regulatory advice.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEST FOR DENTISTRY, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL MEMBERSHIP FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless BEST for Dentistry and its officers, directors, employees, partners, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any products or services purchased through our platform
• Any information you submit through our Services

12. Governing Law & Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

Informal Resolution

Before filing any formal dispute, you agree to contact us at info@bestfordentistry.com and attempt to resolve the issue informally. We will make a good-faith effort to resolve disputes within 30 days of receiving written notice.

Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Clark County, Washington. Each party shall bear its own costs unless the arbitrator determines otherwise. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm arising from intellectual property infringement or unauthorized use of the Services.

13. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify active members by email. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the Services and may cancel your membership as described in Section 3.
